In representing potential Franchisees prior to the acquisition of a franchised business, our goal is to help our clients understand the Franchise Disclosure Document (“FDD”), the Franchise Agreement, and any other related agreements; to clarify the risks and responsibilities of purchasing the franchise; and, where advisable, to assist in negotiating revisions to the Franchise and other agreements to ensure clarity and fairness.
In representing Franchisors, we endeavor to fully understand the business and craft all legal documentation to satisfy the requirements of all applicable laws. We further strive to reflect the franchised business in its documentation in such a way that ambiguities are minimal and both parties can understand their roles and responsibilities.
Written contracts are designed to be enforceable in the event they are breached. On those occasions, we are prepared to represent our clients in virtually all disputes in state and federal courts, in arbitration, and in mediation.
